לפני 21 שעות חברה חסויה Location: Job Type: Required Corporate Counsel Job Description As a corporate counsel, you'll handle some of the biggest legal challenges of the information age. You'll work on cutting-edge technology and tackle complex legal issues while ensuring our success. In your day-to-day, you will Work closely with our M&A and Investment teams to ensure a streamlined process to close our acquisitions effectively Prepare SEC filings such as Form 20-F, quarterly earnings press releases (6-K), proxy statements, and other periodic reports Work closely with our employee equity departments to tackle ongoing issues that arise from our global employee compensation plans Work with external counsel (in Israel and abroad) to understand and solve issues raised in our practice, and implement business-enabling solutions Assist in product and commercial tasks needed by our department Become well-acquainted with and keep us up to date with corporate and securities compliance issues.Requirements: 4-6 years of experience in M&A, U.S. securities & capital markets/corporate departments of leading firms or as in-house legal counsel Experience in negotiating M&A and investment transactions Deep understanding of corporate law and corporate governance Expertise in preparing SEC filings Fluent spoken and written English Strong analytical, organizational, and multitasking skills.This position is open to all candidates. Hide
