I need to set up a limited liability company (UAB) in Lithuania with foreign shareholders and would like the entire process handled smoothly from start to finish. The core help I require covers:
• Company registration
- securing the name, preparing and submitting the incorporation package with the Centre of Registers, arranging the notary appointment, and obtaining the registration certificate (įstatų patvirtinimas & registravimo pažyma).
• Drafting the key legal documents
- Articles of Association, founding act, shareholder agreement, director appointment resolution, share register, and any English–Lithuanian translations needed so our non-resident investors can rely on them internationally.
Because every stakeholder is non-Lithuanian, guidance on capital contribution rules, remote notarisation or power-of-attorney options, and the subsequent opening of a local bank or fintech account will be essential. All documentation must comply with current Lithuanian Company Law and be acceptable to both the Registry and a mainstream bank.
Acceptance criteria
- UAB successfully incorporated and visible in the Lithuanian Register of Legal Entities.
- Complete bilingual set of foundation documents delivered in editable formats (DOCX/PDF).
