Part-Time Company Secretary

  • Charity- Hybrid workingLocation:Oxford- HybridHours:c.20 per week (flexible)Salary:£45,000 - £65,000 FTE (DOE)About the Role:This is a unique opportunity to join a charity organisation in a part-time Company Secretarial and Governance capacity. The role blends board administration, trustee support, statutory compliance, and some finance liaison. It would suit someone with a legal or charity-legal background who is comfortable working in a distinctive and values-led environment.Key Responsibilities:1. Board AdministrationSchedule Board and Committee meetings, prepare agendas and papersTake minutes, track actions, and manage the governance calendarSupport preparation for the AGM and other annual processes2. Trustee & Governance SupportProvide procedural guidance and promote good governance practiceCoordinate trustee inductions and maintain trustee/member/conflict registersEnsure all core governance documents and policies remain up to date and accessible3. Record-Keeping & Information ManagementMaintain secure, well-organised filing of minutes, decisions, and policiesKeep accurate trustee and governance recordsSupport compliant handling and storage of personal and sensitive data4. Regulatory CompliancePrepare and submit filings to the Charity Commission (Annual Return, accounts, Trustees' Report)Process serious incident reporting where requiredLiaise with auditors/independent examiners and manage trustee changes5. Company-Law & Legal Support (where applicable)Manage Companies House filings and statutory registersRecord and file constitutional changes and resolutionsSupport the board on core legal, compliance, and risk-management dutiesAbout You:Background in legal, charity legal, or governance roles (property experience beneficial)Diplomatic, organised, and confident, managing a broad range of responsibilitiesComfortable working closely with senior stakeholders in a mission-driven environmentPerks & Benefits£45,000
