Senior Legal Counsel – Unlisted Investments

NBIM Legal & Tax is NBIM’s centralized legal function. It assists and advises all NBIM business areas on their legal and tax requirements in respect of NBIM’s organisation and the investment portfolio, both listed and unlisted. The Unlisted Investments Legal team is the area within NBIM Legal & Tax providing legal support relating to NBIM’s unlisted investments in renewable energy infrastructure and real estate. The team has six lawyers working integral with investment teams across our offices in London, Oslo and New York. NBIM is seeking an energy transaction lawyer to join the Unlisted Investments Legal team in NBIM Legal & Tax. The position will be based in Oslo and will report to XXXX XXXX, Head of Unlisted Investments, Legal & Tax. Travel will be required. International assignments to New York or London may also be relevant depending on business needs. What you will do Provide transaction support to the investment teams on real assets investments, predominately relating to renewable energy infrastructure. Support on real estate and other areas may also be required from time to time. Advise on investment structures, acquisition agreements, joint venture agreements, shareholder agreements, investment mandates, fund investment agreements, operation and management agreements, power purchase agreements, merger clearance, unbundling and government approvals, regulatory issues, etc. Legal advice in connection with existing investments; company law and intra group questions. Manage and mandate external legal advisors. Advice on external adviser procurement processes, including drafting and negotiation of contracts. Input to internal investment memoranda and monitor legal look out functions, contribute to internal policies, guidelines and procedures relevant to renewable energy infrastructure and real estate investment. Contribute to integration of AI and new technologies in work processes to enhance quality and efficiency. Support in connection with internal and external audit processes and legal questions relating to mandate and provide legal input in connection with exploring new markets. What you need A law degree with good academic record from a university in Europe or US. Minimum 8-10 years’ experience with energy transactions, predominately direct investments. Solid understanding of energy regulatory matters. Extensive international experience is an advantage. Experience with indirect investments. Knowledge of real estate investments is an advantage. Proficiency in written and spoken English. Knowledge and curiosity around use of AI and new technologies. Ability to converse in Norwegian is advantageous.
